MTA Ancillary Agreement: Kyoto University Ancillary Agreement
This Ancillary Agreement modifies the Uniform Biological Material
Transfer Agreement (UBMTA) section II, clauses 5b and 14. The
modifications to these clauses are:
II-5b is changed to: "Under a separate implementing letter to this
Agreement (or an agreement at least as protective of the PROVIDER's
rights), the RECIPIENT may distribute MODIFICATIONS to NONPROFIT
ORGANIZATION(S) for research and teaching purposes only, provided that
RECIPIENT or RECIPIENT SCIENTIST notify PROVIDER of each such
distribution.
Please send details of each transfer, including name of the material
to be transferred, name of the recipient institution, and name and
contact of the recipient scientist, to the following email address:
II-14 is changed to: "Paragraphs 6, 7, 8, 9, 10 and 11 shall survive
termination."
With regard to any conflict between this Ancillary Agreement and the
UBMTA, this Ancillary Agreement shall control and take precedence.
